Terms of Service

By creating an account or using Synthmark (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

Synthmark provides a cloud-based annotation platform for computer vision teams, including tools for image labeling, review workflows, team collaboration, and dataset export in COCO, YOLO, VOC, and custom JSON formats.

We may change, add, or remove features at any time. We will give reasonable notice for changes that materially reduce functionality.

You must provide accurate information when registering. You are responsible for all activity under your account, including activity by collaborators you invite. Keep your credentials confidential and notify us immediately at security@synthmark.io if you suspect unauthorized access.

You must be at least 16 years old to register. We may refuse service or terminate accounts created with false information.

• Upload content that infringes third-party intellectual property rights or violates applicable law
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
• Use the Service to transmit malware, spam, or harassing content
• Reverse engineer, decompile, or extract source code from the Service
• Systematically scrape or export data in a way that creates unreasonable load on our systems
• Resell or sublicense access to the Service without our written permission

Your content

You retain all ownership rights to the images, annotations, and other data you upload ("Your Content"). By uploading Your Content, you grant Synthmark a limited, non-exclusive, worldwide license to store, process, and display it solely to provide the Service to you. We do not use Your Content to train models.

Our platform

The Service, its design, features, code, and documentation are owned by Synthmark and protected by copyright and other applicable laws. Nothing in these Terms grants you ownership of any part of the Service.

Billing

Paid plans are billed monthly or annually in advance. All prices are in USD. We use a third-party payment processor — we do not store raw card numbers on our servers.

Upgrades & downgrades

Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period. No partial-period refunds are issued on downgrade.

Cancellation

You may cancel at any time from account settings. Access continues until the end of your current billing period. We do not refund unused time unless required by applicable law.

Price changes

We will give 30 days' notice before changing subscription prices. Price changes do not affect your current billing period.

You may export your project data at any time while your account is active. On account deletion, you have 30 days to export before data is permanently removed.

We target 99.9% monthly uptime for paid plans. Scheduled maintenance is communicated in advance. We are not liable for downtime caused by events outside our reasonable control, including third-party provider outages.

We may suspend or terminate your account for material violations of these Terms, non-payment, or fraudulent activity. Where practical, we will give notice and an opportunity to remedy the violation before terminating. You may terminate your account at any time.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTHMARK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID SYNTHMARK IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

You agree to indemnify and hold Synthmark harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes shall be resolved by binding arbitration under JAMS rules, with proceedings conducted in English. Class actions are waived to the extent permitted by law.

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
